Stephen D. Brook is a Partner in Burns & Levinsonís Business and Securities Law Groups. He has a general corporate and securities practice and represents public, private and emerging growth companies in a variety of corporate and securities matters, including the structuring and financing of start-up ventures, venture capital, mergers and acquisitions, securities law compliance, formation of joint ventures, licensing and commercial transactions. Mr. Brook also has represented investment banks, private equity firms and venture capital firms in public and private equity and debt offerings, mergers and acquisitions and leveraged buyouts.

Andy Viles serves as Managing Director and Head of U.S. Mergers & Acquisitions in Canaccord Genuity's Investment Banking Group. He joined Canaccord Genuity in 2003 as U.S. General Counsel. Mr. Viles advises growth companies on M&A transactions and strategic alternatives, corporate divestitures, fairness opinions and other financial advisory matters. He also acts as chair of the firm's US capital commitment committee for financing transactions in which the firm is involved. Prior to joining Canaccord Genuity, Mr. Viles was a Partner at the Boston law firm Goodwin Procter LLP focusing on a mergers & acquisitions (including LBOs and restructurings), corporate finance, and capital markets practice.

Robert M. Burke, III is a Partner in McGladrey & Pullenís Assurance practice and leads the technology industry practice in New England. He has over 20 years of audit and business advisory experience. Mr. Burke works with companies throughout their life cycle, from emerging companies raising their initial capital, to high growth companies expanding globally, to companies contemplating a liquidity event through the public markets or a merger. He is highly accomplished in the areas of mergers and acquisitions and financing transactions for both public and private companies. Mr. Burke has extensive experience in SEC accounting and reporting matters, including Sarbanes-Oxley compliance.
