Mr. Goshko specializes in corporate, commercial real estate, international, and finance matters. He has well over forty-five years of experience in the private practice of corporate and real estate law in Boston. Mr. Goshko also advises automobile dealers in buying and selling of automobile franchises, financing of dealerships, operational, and other matters.

Mr. Goshko has served as outside general counsel to major public companies and numerous private companies, many of whom have become significant businesses throughout New England and the United States. He has extensive experience in providing legal services to family-owned businesses and to professionals. He has spent several years involved with the buying and selling of businesses as well as in long-term business planning, which includes inter-generational ownership and management succession tied to estate planning objectives of the principals involved.

Mr. Goshko has structured, prepared, and successfully negotiated contracts relating both to inter-corporate dealings and intra-corporate relationships between principals and management. His experience in these areas relates to purchase and sale agreements of businesses, stock agreements of various types, reorganizations, financing, loan transactions both on behalf of borrowers and bank lenders, regulatory compliance, franchising and commercial leasing. With respect to intra-corporate relationships he has dealt with all kinds of employment agreements, restrictive covenants, buy-sell succession agreements and key man agreements tied to the relationships between participating and non-participating family members of the principals.

Mr. Goshko has spent several years representing clients involved in the construction of shopping centers, industrial parks, and commercial buildings, including the financing, construction and operational legal formats and structures of each project. He has acted as counsel to both construction and long-term lenders. Among his clients in these projects are numerous banks, insurance company and pension fund lenders. He has also acted on behalf of developers in the planning of all phases of their projects.

In several situations Mr. Goshko has served as counsel to tenants of shopping centers and commercial projects. For example, he has represented various national, regional, and local retail tenants of shopping centers. He has participated actively in the finance, construction, and leasing for one of the world’s largest operators of movie theaters. He has represented hotel management companies, franchisors and franchisees of retail and commercial service operations and has been involved in the purchase and sale of such projects representing buyers and sellers in different situations.

In the area of public offerings, Mr. Goshko has supervised those involving S-1 and Regulation A issues of capital as well as exempt private offerings and notice filings for franchises in accordance with federal law.

Mr. Goshko has been involved in numerous private international law transactions both as counsel to foreign companies doing business within the United States and domestic interests doing business internationally. He has represented clients in ongoing investment and joint venture arrangements by and between foreign parties relative to projects, investments, and businesses within the United States and the participation of U.S. groups in projects internationally.
