Since joining the firm in 1984, Mr. Rives has represented public and private companies, with a special emphasis in the field of emerging growth companies. Mr. Rives represents emerging companies in the fields of medical products, telecommunications, software applications, biotechnology, and other high technology fields.
Mr. Rives has significant experience in the acquisition, divestiture, regulation, operation, recapitalization and financing of senior housing facilities throughout the United States, with a particular emphasis in assisted living. He has represented clients in a host of complex transactions in the senior housing field involving joint ventures, bankruptcy acquisitions and equity and debt transactions.
Mr. Rives also advises clients on an ongoing basis on contract issues and other general corporate law matters. He represents public companies and handles securities law reporting and compliance issues, including reporting and regulatory compliance under the Securities Exchange Act of 1934. Experienced in the purchase and sale of businesses, he represents clients in mergers, leveraged buyouts, tender offers and asset acquisitions and sales.
In the area of international transactions, he advises on such matters as distribution networks, joint marketing and development agreements and cross-border licensing of intellectual property. Mr. Rives has previously served on the Firm's Executive Committee.
