Experience:

Ms. Shapiro specializes in securities law and corporate law. Prior to joining Burns & Levinson in January 2006, Ms. Shapiro was a Partner at the firm Perkins Smith & Cohen LLP.

In her law practice, Ms. Shapiro provides counsel on diverse areas of U.S. securities law for publicly-traded Canadian companies, as well as for U.S. issuers and investors, in connection with public and private financings, cross-border transactional issues, and disclosure and other compliance matters. She has spoken at seminars for corporate clients and others on securities law topics. Ms. Shapiro regularly handles registrations of securities of U.S. and non-U.S. companies with the Securities and Exchange Commission, as well as ongoing U.S. securities law reporting and compliance for domestic and foreign public companies.

Her practice also includes a variety of capital-raising and other transactions for corporate clients, including private placements of debt and equity to venture capital and individual investors for companies in such diverse areas as medical devices, scientific instrumentation, pharmaceuticals, software and other technologies, and natural resources. She advises corporations and other entities about corporate governance, entity structure and general business issues.
