Boston, MA, August 30, 2022 – Burns & Levinson represented Andler Packaging Group, a value-added distributor of plastic, glass, and metal containers and closures, in its June 10 acquisition by Berlin Packaging, the world's largest hybrid packaging supplier®. All employees and locations for this acquisition will be retained.
Andler Packaging serves a variety of markets, with expertise in the rapidly growing pharmaceutical and nutraceutical industries. The company also offers its customers value-added services, including proprietary custom tools, printing and labeling capabilities, and repacking and sterilization services. The Everett, Massachusetts-based company was founded in 1893 – originally as a recycler of glass bottles for the local community – and has grown to become one of the largest packaging suppliers in the U.S. with multiple locations across Massachusetts, New Jersey, Maryland, and Florida.
The deal team was led by Burns & Levinson partner Josef Volman, who co-chairs the firm’s Business Law Group, and included partners Bryan Natale, Harry Miller, Rodney Bedow, Evelyn Haralampu, Paul Mastrocola, Michael MacClary, and Lonnie Murray, along with associates Michael Andreasen, Naveed Cheraghchi, Michael Stack, and Brooke Penrose. G2 Capital Advisors served as the exclusive sell-side financial advisor to Andler Packaging.
“It was an honor to work with Andler Packaging on this transformational deal in the company’s 130 plus year history. Selling a fourth generation, multi-family and multi-generationally owned business is inherently complicated, and we were charged with structuring a deal that would both preserve the company’s family and employee legacy while obtaining maximum value for the business and all of the family stakeholders,” said Volman. “Through a fast-paced and collaborative process, we were able to find the best path forward with an ideal long-term partner.”
“We were also thrilled to once again work with G2 Capital on another successful deal. Pat Reinhardt, Managing Director of G2 Capital Advisors, and her team did a masterful job of working with the company and helping them navigate the complexities of the transaction. They are true professionals that know how to partner with their clients,” added Volman.
“We chose Burns & Levinson for their vast knowledge working with family businesses and expertise in middle market M&A. Joe and his team were incredibly knowledgeable and responsive, and helped us navigate through multiple complex issues to get this transaction over the finish line. They really understood the importance of our family’s legacy and the partnership we wanted to create with a new owner. We truly value their wise guidance and counsel,” said Sam Andler, Managing Director of Andler Packaging Group.
