Alex L. Khalarian is an associate in the firm’s Corporate group, focusing on mergers and acquisitions. As part of his M&A practice, Alex has represented buyers and sellers in complex transactional matters, including stock purchases, mergers and asset acquisitions/dispositions, with a concentration on the technology, health care/life sciences and industrial sectors. In addition, Alex has advised public and private clients on a wide range of corporate matters, including contract negotiation, corporate governance issues and SEC compliance/disclosure.

Prior to joining Burns & Levinson in 2017, Alex practiced in the Boston offices of Foley Hoag LLP and Skadden, Arps, Slate, Meagher & Flom LLP, where he gained extensive experience working on M&A transactions.

Alex received his J.D. degree from the Boston University School of Law. While at Boston University, Alex served as the Developments Editor of the Annual Review of Banking and Financial Law (now the Review of Banking & Financial Law) and was a G. Joseph Tauro Scholar. Alex also received his B.S.B.A. degree from Northeastern University, having majored in Finance and Management Information Systems. Between college and law school, Alex worked as a consultant for a start-up company providing a CRM solution in the sales and marketing field.

Alex is conversant in Armenian.

Experience

  • Represented an NYSE–traded manufacturer of rapid point-of-care diagnostic tests in its $600 million disposition of its health services and condition/case management subsidiaries
  • Represented a private equity client in its acquisitions of (i) a $215 million publicly-traded manufacturer and marketer of comfort footwear, footwear products and handbags, and (ii) a $200 million publicly-traded manufacturer and distributor of headphones, earbuds, gaming headsets and speakers
  • Represented a NASDAQ-traded provider of medical devices in two simultaneous acquisitions of German target companies engaged in the development of a catheter-based expandable blood pump and related technologies
  • Represented publicly-traded target companies in Rule 13e-3 “going private” transactions, totaling approximately $150 million
  • Represented a privately-held genomic analysis and bioinformatics company in the sale of its wholly-owned operating subsidiary to a strategic Chinese buyer
  • Represented a leading provider of office supplies, electronics and furniture in the sale of its “printing solutions” division assets
  • Represented a manufacturer of market-leading camera module assembly and test systems in its sale to a publicly-traded Swedish technology company
  • Represented a U.K.-based developer and licensor of data center software management solutions in the acquisition of a privately-held U.S. software company
