Chad Porter is a partner in the firm's Finance, Middle-Market M&A and Private Equity, Securities Law, and Business & Transactions groups. Chad joined Burns & Levinson in May of 2000.

He participates in a broad range of activities including mergers and acquisitions, commercial financing arrangements, private equity investments and transactions, securities transactions and compliance, general business affairs and business disputes.

  • Mergers, acquisitions and sales of a variety of companies and commercial assets with transactions ranging from several hundred thousand dollars to over $500 million
  • $600 million sale of a public pharmaceuticals company
  • $150 million roll up of several international distribution companies
  • $120 million acquisition of a public pharmaceuticals company
  • $45 million sale of a plastics molding company
  • $30 million acquisition of a resin distribution company
  • $20 million sale of a pest services company
  • Sale of a technology company, including redemptions and rollover equity
  • Finance, merger and going private transaction involving a public wind turbine company
  • Numerous private equity acquisitions, investment and divestures in funeral services, flooring and environmental service industries

Financings

  • Representing lenders in asset based, commercial and real estate financings and restructurings throughout the U.S. and internationally, including Canada, Mexico and others.
  • Structured $200 million credit facility for a major lending institution.
  • Structured numerous syndicated and other credit facilities for major lending institutions secured by collateral and multiple properties throughout the U.S. and Canada, and sale of a facility to another lender.
  • Structured $125 million real estate financing and development facility for a major lending institution secured by multiple properties throughout the S.
  • Structured unitranche credit facilities in excess of $50 million for a major lending institution.
  • Represented several major lending institutions with respect to commitments in retail and other credit facilities ranging from approximately $250 million to $2 billion.

Securities

  • Representing various U.S. publicly listed companies (including those in the medical device and biotechnology industries among others) with respect to reporting obligations, Board of Director oversight and other governance matters, as well as securities related transactions, including mergers, acquisitions, divestitures, tender offers, exchange offers and public and private securities offerings.
  • Represented several NASDAQ listed companies with respect to: 
    • $75 million convertible note offering and related tender/exchange offer
    • $25 million PIPE and $35 million registered public offering
    • $100 million royalty financing
    • $150 million acquisition/merger
    • $600 million sale tender offer/merger
    • $10 million public offering of common stock and convertible preferred stock
    • $5 million initial public offering of common stock
    • $5 million public offering of common stock and private placement of warrants
    • $15 million private equity line
    • Various acquisitions, including companies in the U.S., Germany and Canada
  • Represented domestic public companies operating in China with respect to:
    • $25 million registered direct offering; and
    • $3 million PIPE
