Tal Unrad joined Burns & Levinson's Corporate Group in 2008. His practice focuses on corporate transactions, including mergers and acquisitions, start-up structuring and financing, e-commerce, and distressed transactions. Tal is also active in the firm's Restructuring Practice and has represented numerous clients in Chapter 11 bankruptcy proceedings.

Tal represents both domestic and foreign buyers and sellers in mid-market asset and stock purchase transactions across various industries ranging in value from $1 to $100 million. He works regularly with venture capital and private equity firms in their capacity as acquirers and sellers of businesses.

Tal is also active in the Boston start-up scene and has helped a number of companies launch their visions into successful companies. He frequently works with entrepreneurs and emerging companies to establish their initial business presence and to help obtain early-round and subsequent financing. Several of these companies are focused in the e-commerce and social media spaces. He has worked with numerous foreign companies looking to take advantage of Massachusetts’s innovation-friendly environment. Tal's involvement in the start-up community has helped clients make connections, receive valuable feedback and gain transaction within their respective industries.

Many of Tal's clients work within the technology and healthcare fields. He actively represents a leading developer of electronic health record (EHR) software, web developers, a streaming video delivery software company and an ever-expanding assisted living facility operator.

Tal also has considerable experience in representing clients in financial restructuring transactions both in and out of court. He specializes in secured financing transactions, perfection of security interests, asset foreclosures and debt restructurings. He regularly appears on behalf of both debtors and creditors before the bankruptcy courts on these and related matters. He has also represented clients in foreign insolvency proceedings in the Cayman Islands and Europe.

Prior to coming to Burns & Levinson, Tal worked in the legal department of Travelers Insurance handling policy drafting and coverage disputes for its Bond and Financial Products division. He also served as a Public Affairs Officer for the Israeli Foreign Ministry at its consulate in Boston from 2002-2005. He is a licensed Emergency Medical Technician and speaks Spanish and Hebrew.

  • Represents assisted living developer in acquisition of numerous development properties and operating facilities, including a distressed property purchased through a Chapter 11 bankruptcy plan of re-organization
  • Delivers corporate law and non-consolidation opinions on behalf of an international real estate development firm in connection with multiple $100+ million real estate acquisitions in Ohio, Kansas and Indiana
  • Represented shareholders in $18 million sale of mortgage servicing company to private equity firm
  • Represented EHR software developer in acquisition of complementary software products and Indian software developer
  • Represents developer of hospital invoicing software in negotiating agreements with Johns Hopkins Healthcare, Partners Healthcare and Community Health Systems
  • Facilitates $30 million restructuring of restaurant chain with 13 locations operating through the U.S.
  • Successfully defended shareholders in $15 million fraudulent transfer case brought by bankruptcy trustee in Chapter 11 proceedings (DSI v. Kaplan, et al., 555 B.R. 70 (Bankr. D. Me. 2016))
  • Represented Chapter 11 debtor in sale of its assets to secured creditors (In re Karmaloop Inc., Case No. 15-10635-MFW (Bankr. D. Del.))
  • Represents U.S.-based founder of Cayman investment fund in Cayman liquidation proceedings and shareholder disputes
  • Represents multiple creditors in claims against Lehman Bros. Bankruptcy proceedings (In re Lehman Brothers Holdings Inc., et al. Case No. 08-13555 (Bankr. S.D. N.Y.))
